Item Management and administration of public corporations and state companies: law and practice in Tanzania.(University of Dar es Salaam, 2004) Shayo, Daniel AloyceThe title of the study is Management and administration of public corporations and state companies: Law and practice in Tanzania. This seems to be very wide because management and administration are wide concepts. However, in order to make it realistically manageable, this study is confined to the legal provisions governing the boards of directors since these are the people statutorily empowered to manage the business of the public corporations and state companies as the case may be. In particular, the study seeks to prove the hypothesis that poor performance in the public corporations and state companies is largely caused by poor management and administration in such public entities. It is submitted that on the one hand such poor management and administration is due to lack of proper legal provisions governing the qualifications for appointment of the boards of directors and lack of autonomy in the boards of directors on the other. The study also touches on privatisation policy which has been used as a way to reform to the poorly performing public sector. On this it is contended that given the way privatisation is carried on in Tanzania, the Tanzanians have little to gain unless it is shaped to meet the conditions prevailing in the country. The first chapter is an introductory part in which the historical background to the corporate bodies law in Tanzania is covered together with other important parts of the study which includes the literature review, the objectives and significance of the study. In the second chapter the origins and importance of public corporations and state companies is covered in a bid to attest their significance today. The third chapter deals with the legal provisions governing the management and administration of state companies and public corporation. The chapter examines various legal matters affecting the board of directors hindering its the proper functioning. The fourth chapter links the problems in legal provisions with the performance in public corporations and state companies. In this chapter information and data obtained from various corporations and other institutions is analysed in a bid to establish that poor management and administration is the cause of poor performance. The last chapter, deals with conclusions and recommendations in which various observations are made and reforms to the law are recommended.
